Website Terms and Conditions of Use

These Terms and Conditions of Use (“Agreement”) is a legal and enforceable agreement between you (“User” or “Client”) and Agile Leadership Journey, LLC (“ALJ”) for the use of ALJ's websites, including without limitation agileleadershipjourney.com, petebehrens.com, survey.agileleadershipjourney.com, and any other websites, platforms, or online services operated by ALJ (collectively, the "Sites"), along with any associated software applications and other services provided (collectively, "Services"). By registering for any Service provided on the Sites you become a client ("Client") and you agree to be bound by all of the terms (the "Terms") set forth in this Agreement as long as you remain a Client. 

IF YOU DO NOT AGREE TO THE TERMS, PLEASE DO NOT REGISTER FOR ANY ALJ WEBSITE SERVICE. The Terms are subject to change at any time, effective upon notice to you.

BY CLICKING THE “I AGREE”, “SIGN UP” OR “LOGIN” BUTTON, YOU AGREE THAT YOU HAVE READ, UNDERSTAND AND AGREE TO BE BOUND BY THE TERMS. THE MOST CURRENT VERSION OF THE TERMS, WHICH SUPERSEDES ALL PREVIOUS VERSIONS, CAN BE REVIEWED BY GOING TO HTTPS://WWW.AGILELEADERSHIPJOURNEY.COM/WEBSITE-TERMS-AND-CONDITIONS. ALJ RESERVES THE RIGHT TO CHANGE THE TERMS AT ANY TIME AND WITHOUT NOTICE TO YOU.

Registration and Access. You must be at least 18 years old, or the minimum age required in your country to consent to use the Services. You must provide accurate and complete information to register for an account to use our Services. You may not share your account credentials or make your account available to anyone else and are responsible for all activities that occur under your account. If you create an account or use the Services on behalf of another person or entity, you must have the authority to accept these Terms on their behalf.

1. ALJ may provide Services directly or indirectly through a third-party service provider. Additional registration for third-party services may be required and use of such services may be subject to additional terms and conditions.
2. Certain services marked as “Experimental” or “Beta Testing” or “In Development” (“Test Services”) may be provided by ALJ or its partners. Such Test Services are provided without warranty and are provided as “as-is/where-is” to registered Users.

Furthermore, with respect to any Test Services, you acknowledge and agree that: (a) such Test Services are not official products and have not been commercially released for sale by ALJ; (b) Test Services may not operate properly, be in final form, or be fully functional; (c) Test Services may contain errors, design flaws, or other problems; (d) it may not be possible to make any Test Service fully functional; (e) information obtained using Test Services may not be accurate and may not accurately correspond to information extracted from any database or other source; (f) use of Test Services may result in unexpected results, loss of data or communications, project delays, or other unpredictable damage or loss; (g) ALJ is under no obligation to release a commercial version of any Test Service; and (h) ALJ has the right unilaterally to abandon development of any Test Service at any time and without any obligation or liability to you.

Data Processing and Privacy. Your use of the Sites is subject to our Privacy Policy, available at https://www.agileleadershipjourney.com/privacy-policy, which is incorporated into this Agreement by reference. By using the Sites and agreeing to these Terms, you also agree to the collection, use, and processing of your personal information as described in the Privacy Policy.

Where you are an organization whose employees, participants, or other individuals use the Sites in connection with services provided by ALJ, you acknowledge that the personal information you provide about those individuals is generally limited to professional information necessary for the engagement, such as names, professional titles and roles, organizational hierarchy, division, and work contact information. You represent that you are authorized to provide such information to ALJ for the purposes described in our Privacy Policy and General Terms and Conditions, and that you have complied with applicable data protection laws in doing so.

For users located in the European Economic Area or United Kingdom, the Privacy Policy describes the lawful bases on which we process your personal information and your rights under applicable data protection law.

Limitations of Liability and Indemnification. By using any services provided through the Sites, you agree that in no event will ALJ, its officers, employees, agents, affiliates, licensees and web hosting services be liable for any direct or indirect, incidental, special or consequential damages as a result of your accessing the Sites and using any of the services available. Your sole remedy for any breach or default of this Agreement by ALJ shall be a return of any fees paid to ALJ for any services provided under this Agreement. You indemnify and agree to defend and hold harmless ALJ, its officers, employees, agents, affiliates, licensees and web hosting services and third parties for any losses, costs, liabilities and expenses (including but not limited to court courts, legal fees, awards or settlements) relating to or arising out of your use of the Sites, including any breach by you of the Terms contained in this Agreement.

Responsibility for Use of Website. You understand and agree that you are solely responsible for your actions and decisions to meet other people who you meet online by virtue of the services provided on the Sites. You understand that the Sites and ALJ do not perform psychological testing or background checks on the individuals who may use the the Sites or ALJ’s services. 

1. You understand and agree that you must take all reasonable precautions before meeting others through the service provided by the Sites, which includes, but is not limited to: exchanging e-mail first before giving out any personal information and meeting in a public place.
2. You may not use our Services for any illegal, harmful, or abusive activity. For example, you may not:
3. Use our Services in a way that infringes, misappropriates or violates anyone’s rights.
4. Modify, copy, lease, sell or distribute any of our Services.
5. Attempt to or assist anyone to reverse engineer, decompile or discover the source code or underlying components of our Services, including our models, algorithms, or systems (except to the extent this restriction is prohibited by applicable law).
6. Automatically or programmatically extract data or Output (defined below).
7. Interfere with or disrupt our Services, including circumvent any rate limits or restrictions or bypass any protective measures or safety mitigations we put on our Services.
8. Use Output to develop models, tools, or services that compete with ALJ's Services or proprietary applications.

Do Not Rely on the Sites. Opinions, advice, statements or other comments should not necessarily be relied upon and are not to be construed as professional advice from the Sites or ALJ. ALJ does not guarantee the accuracy or completeness of any of the information provided, and is not responsible for any loss resulting from your reliance on such information.

Termination and Suspension. You are free to stop using our Services at any time. We reserve the right to suspend or terminate your access to our Services or delete your account if we determine: (a) you breached this Agreement or our Privacy Policy; (b) we must do so to comply with the law; or (c) your use of our Services could cause risk or harm to our users, or anyone else.

Warning re: Offensive Information. It is possible that other users of the Sites will post or send obscene or offensive materials on the Sites or to you via e-mail. It is also possible that by using your e-mail address, other people may, through other means outside the control of ALJ, have access to personal information about you. ALJ, its employees, agents, affiliates, licensees and web hosting services are not responsible for these transmissions or for the release of such information by others about you.

Right to Monitor. ALJ reserves the right, but is not obligated, to monitor materials posted in any public area and shall have the right to remove any information deemed offensive by our staff. Notwithstanding the foregoing, you remain solely responsible for your use of any information contained on the site.

Confidentiality. You agree to keep confidential and not disclose, discuss, or reproduce information to any third party related to: (a) the Sites and ALJ’s materials that are not publicly accessible; (b) the Output; (c) development or marketing plans that you learn about as part of your use of Services; and (d) verbal or written communications from ALJ’s employees, agents, contractors or other representatives regarding the Sites and ALJ’s materials and Services. The confidentiality requirements continue until all of the above become publicly known.

It is agreed that all personal information given to the Sites or ALJ, will be kept confidential by the Sites and ALJ, with the following exceptions: (1) basic biographical information may be posted with your user ID for others to view; (2) you actively chose to post your personal information for others to see; (3) you send a message to another client, which will disclose your e-mail address to that client; (5) personal information will be collected, processed, and disclosed as described in our Privacy Policy and Cookie Policy, which are incorporated into this Agreement by reference or (4) you have harassed another person via any service provided by the Sites, in which case the confidentiality clause contained in this Agreement is rendered null and void.

Cookie Consent and Tracking Preferences. ALJ uses CookieYes as a consent management platform to manage cookie and tracking technology preferences on the Sites. By using the Sites, you acknowledge that certain cookies and tracking technologies are used as described in our Privacy Policy and Cookie Policy. Cookie policies for each of the Sites are available at https://www.agileleadershipjourney.com/cookie-policy and https://www.petebehrens.com/cookie-policy. You may manage your preferences through the cookie consent tool available on the Sites at any time. Essential cookies required for the Sites to function are activated without consent. All other cookies and tracking technologies require your active consent before activation.

Ownership, Copyrights, Trademarks, Licenses. ALJ owns and retains all proprietary rights to the Sites and Services, including all trademarks and copyrights. Except for any information that is in the public domain, you are not authorized to reproduce, transmit or distribute the proprietary information of ALJ. By posting information to the Sites or submitting Input to our Services, you represent that you have all rights, licenses, and permissions needed to do so and to grant permission for use by ALJ.

1. ALJ may request feedback regarding the operation or use of Services. Any feedback, ideas, modifications, suggestions, improvements and the like (“Supportive Information”) provided by you during and after use of Services will be the sole property of ALJ. You agree to assign, and hereby assign, all worldwide right, title and interest in the Supportive Information and the related intellectual property rights to ALJ.

No Warranties. ALJ provides the Sites and Services on an 'as is' basis and does not make any warranty, express, implied, limited or other with respect to the services provided. Specifically, ALJ does not warrant that the service will always be available, be uninterrupted, be error free, meet your requirements, or that any defects in the services will be corrected.

1. You may provide input to the Services (“Input”), and receive output from the Services based on the Input (“Output”). Input and Output are collectively “Content.” You represent and warrant that you have all rights, licenses, and permissions needed to provide Input to our Services.
2. Similarity of Content. Due to the nature of our Services, Output may not be unique across all users. Where ALJ's proprietary survey, assessment, or other tools generate output based on your inputs, that output reflects your specific data and is treated as confidential in accordance with this Agreement and our Privacy Policy. Where Services incorporate or interface with artificial intelligence tools, output generated through those tools may not be unique and may be similar to output received by other users.
3. Our Use of Content. We may use and store Content to provide, maintain, develop, and improve our Services, comply with applicable law, enforce our terms and policies, and keep our Services safe. Our use of personal information contained in Content is governed by our Privacy Policy.
4. Accuracy. ALJ's proprietary survey, assessment, and other tools are designed to provide meaningful insights and information based on participant inputs and available data. While we work to ensure the accuracy and reliability of our Services, outputs from our tools reflect the data provided and should be considered alongside other information and professional judgment. ALJ does not warrant that outputs will be free from error or suitable for all purposes. Where our Services incorporate or interface with artificial intelligence or machine learning tools, such tools are rapidly evolving and outputs may, in some situations, not accurately reflect real people, places, or facts.
5. Third-Party Services and AI Tools. The Sites may contain links to or integrations with third-party websites, platforms, and AI services. ALJ is not responsible for the privacy practices, security, accuracy, or content of those third-party services. Your use of third-party services is subject to their own terms and conditions and privacy policies. AI-generated content accessed through third-party tools integrated into or accessible through the Sites may be inaccurate, incomplete, or not suitable for your specific circumstances. ALJ encourages you to exercise independent judgment when relying on AI-generated content.

Dispute Resolution. In the event of any dispute arising out of or relating to this Agreement, the parties shall first attempt to resolve the matter through good faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days of written notice from either party, the parties agree to submit the dispute to non-binding mediation in Denver, Colorado before a mutually agreed-upon mediator, with costs shared equally, prior to pursuing litigation. Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm.

Jurisdiction. This Agreement or any dispute arising from this Agreement is governed by the laws of Colorado, without regard to provisions of conflicts of law. Any lawsuit arising from or related to this Agreement shall be brought exclusively before the United States District Court for the District of Colorado, and you hereby consent to the jurisdiction of any such court.

Severability. If any provision is found to be invalid, the remaining provisions will be in full force and effect.

Assignment. You may not assign or transfer any rights or obligations under this Agreement and any attempt to do so will be void. ALJ may assign our rights or obligations under this Agreement to any affiliate, subsidiary, or successor in interest of any business associated with our Services.

Certification. You certify that you are at least 18 years of age and that your answers to any registration materials on the Sites will be truthful. In accessing and using the Sites, you understand and agree that basic information concerning you, given to the Sites may be published on the Sites for others to view along with your User ID. Your name, address and e-mail address are kept confidential, except where provided above.

Entire Agreement. This Agreement, together with our Privacy Policy and Cookie Policy, constitutes your entire agreement with ALJ with respect to your use of the Sites and Services.

Waiver. The failure of ALJ to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. Any waiver of this Agreement by ALJ must be in writing and signed by an authorized representative of ALJ.

You further understand and agree that any of the following actions constitutes your acceptance of this Agreement and is the electronic equivalent of a written signature on this document: clicking or pressing on the "I agree", "Sign Up" or "Login" button; submitting a form, survey, assessment, or other data entry on any of the Sites; joining or participating in any ALJ-operated online workspace or community, including without limitation ALJ's Slack workspaces; or otherwise accessing, using, or providing information through any of the Sites or Services. If you do not agree to the Terms, you must immediately cease all use of the Sites and Services
